RE: Letter of Service - 56 Duplainville Road in Saratoga Springs
Dear Ms. Bowman:
The Saratoga County Water Authority has received your request concerning capacity for the
proposed Regeneron Facility at 56 Duplainville Road in Saratoga Springs. You have informed us
that a letter of service from Saratoga County Water Authority is needed as part of your company’s
submission to the City of Saratoga Springs.
Please be advised that, subject to the issuance and/or maintenance of all necessary governmental,
engineering, third-party and related approvals, permissions and/or consents, and the obtaining of
the necessary financing, and in the absence of any design, production, delivery and/or related
issues with its water system, the Saratoga County Water Authority anticipates having the capacity
and infrastructure necessary to serve this new facility with an average daily flow of 802,000 gpd
during Summer months.
As we have already discussed, in order for Regeneron to reserve this capacity, a contract with the
Saratoga County Water Authority, upon mutually agreeable terms, shall be required. As we are
sure that you are aware, the capacity that your company is requesting for the new facility will
require Saratoga County Water Authority to make significant capital improvements to extend its
existing infrastructure. The proposed contract will need to address how these capital
improvements will be financed.
Please be advised that this letter of service does not constitute or create, and shall not be deemed
to constitute or create, any legally binding or enforceable obligation on the part of either party to
this letter of service. Neither party may claim any legal rights against the other by reason of the
furnishing of this letter of service, the taking of any action in reliance thereon, or the failure of
either party to negotiate or to negotiate in good faith regarding the subject matter of this letter of
service. Moreover, this letter is also limited in all respects to law and facts existing as of the date
hereof. In giving this letter, the Saratoga County Water Authority also assumes no obligation to
advise your company of any changes in such laws or facts or any of the contingent items set forth
above in the second paragraph of this letter that may hereafter be brought to the attention of the
Saratoga County Water Authority.
