Furthermore, I/we agree to meet all requirements under Article VII for Historic Review or Article VIII for Architectural Review of the Zoning Code of the City of Saratoga Springs. 0,/ Date: 1 6-25 (applicant signature) Date: (applicant signature) If applicant is not the currently the owner of the property, the current owner must also sign. 11-6-25 Owner Signature: I i� Date: L11 ry Y`C?� Owner Signature: Date: Revised 0112021 LEASE AGREEMENT THIS LEASE AGREEMENT, made this lt'� day of May 2019, (this "Lease") by and between the CITY OF SARATOGA SPRINGS, NEW YORK, a municipal corporation located within the State of New York with an address at City I-Iall, 474 Broadway, Saratoga Springs, New York 12866 (hereinafter referred to as the "City") and FRANKLIN COMMUNITY CENTER, INC., a non-profit agency organized tinder the laws of the State of New York and located at 10 Franklin Street, Saratoga Springs, New York 12866 (hereinafter referred to as the "Center") (collectively, the "Parties"): RECITALS: The City is the owner in fee of property identified on the Tax Map as 1D 165.66-2-89 and located at 10 Franklin Street, Saratoga Springs, New York 12866 (hereinafter the "Property"), The City has, since acquiring the Property through tax foreclosure in or around 1983, leased the Property to the Center and the Center has provided for substantial and significant improvements to the Property, The Center is a non-profit human service agency which provides basic necessities and services to less fortunate individuals and families in the City of Saratoga Springs and surrounding areas, including, but not limited to, affordable housing, clothing distribution, advocacy, holiday assistance, food pantry and after school youth prevention programs, The City desires to continue leasing the Property to the Center and recognizes that the viability and operation of the Center is to the benefit of the citizens of the City, The Center desires to continue leasing the Property from the City and to use said property in the manner described herein and consistent with the Mission of the Center, For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the City and the Center hereby agree as follows: 1. Lease of the Property: The City hereby leases to the Center the Property for the term hereinafter provided and subject to the terms and conditions set forth herein. 2. Duration of Term: The term of this Lease shall commence as of the Effective Date and shall continue for a period of thirty-three (33) years, subject to the terms and conditions set forth herein. At the expiration of the Lease term, the Center may renew, at its option, for an additional period of thirty-three (33) years, upon such terms and conditions as the Parties may mutually agree. In the event the Center opts to renew, it may again renew at the expiration of the second term, at its option, for one additional period of thirty-three (33) years, upon such terms and conditions as the Parties may mutually agree. Should the Center exercise its options to renew as set forth above, it shall do so necessary by the willful or negligent acts of the Center or its agents, contractors, employees, invitees, or licensees. The Center shall have the responsibility of immediately informing the City DPW of any material condition of the structure of the building and associated systems that requires repair. The City DPW shall make all repairs required by this Agreement in a time frame consistent with its repairs for other City owned buildings. Repairs of an emergency nature, i.e. restoration of lost heat during winter, shall be made by City DPW as soon as practicable. 9. Alterations, Additions and Improvements: The Parties acknowledge that the Center has made improvements to the structure located at the Property and further acknowledge that future alterations, additions and/or improvements to the structure will be necessary to enable the Center to carry out the services and programs described herein and which are consistent with the Center's Mission. Subject to the approval of the City, the Center shall be entitled to make such improvements or alterations of or additions to the structure located at the Property and shall be solely responsible for the costs associated with same. Any such alteration, addition and/or improvement shall be in a workmanlike manner and shall utilize good quality materials. All alterations, additions or improvements heretofore or hereinafter made shall constitute a part of the Property, shall be owned by the City and shall be turned over by the Center at the end of the Lease term. 10. Insurance: The Center shall procure and maintain during the term of this Agreement, at the Center's expense, the insurance policies listed with limits equal to or greater than the enumerated limits. The Center shall be solely responsible for any self -insured retention or deductible losses under each of the required policies. Every required policy, including any required endorsements and any umbrella or excess policy, shall be primary insurance. Insurance carried by the City of Saratoga Springs, its officers, or its employees, if any, shall be excess and not contributory insurance to that provided by the Center. The Center may utilize umbrella/excess liability coverage to achieve the limits required hereunder; such coverage must be at least as broad as the primary coverage (follow form). The Office of Risk & Safety Management must approve all insurance certificates. The City of Saratoga Springs reserves its right to request certified copies of any policy or endorsement thereto. All insurance shall be provided by insurance carriers licensed and admitted to do business in the State of New York and must be rated "A—:VII" or better by A.M. Best (Current Rate Guide). If the Center fails to procure and maintain the required coverage(s) and minimum limits such failure shall constitute a material breach of contract, whereupon the City of Saratoga Springs may exercise any rights it has in law or equity, including but not limited to the following: (1) immediate termination of the Agreement; (2) withholding any/all payment(s) due under this Agreement or any other Agreement it has with the Center (common law set-off); OR (3) procuring or renewing any required coverage(s) or any extended reporting period thereto and paying any premiums in connection therewith. All monies so paid by the City of Saratoga Springs shall be repaid upon demand. The City of Saratoga Springs requires the Center name the City as an Additional Insured and Certificate Holder for the following coverage for the work covered by this Agreement: Page 3 of 6 Franklin Community Center 2019 Lease contractors, subcontractors, agents, or employees. The Center's responsibility under this section shall not be limited to the required or available insurance coverage. 12. Assignment or Sublease: The Center shall not, at any time, assign or transfer this Lease, or sublet the whole or any part of the Property absent the prior written consent of the City, which shall not be unreasonably withheld. 13. Access and Inspection: The Center shall permit the City, or its duly authorized agent(s), at all reasonable times and upon reasonable prior notice (absent an emergency) to enter upon, examine and inspect the Property and all buildings, structures and/or improvements thereon. 14. Default: The failure of the Center to observe and perform any covenant, condition or agreement set forth herein on its part to be observed and performed, and continuance of such failure for a period of sixty (60) days after receipt by the Center of written notice specifying the nature of such failure, shall constitute a default. In the event of such default, and in addition to other rights and remedies allowed by law, the City may terminate this Lease, re-enter and take possession of the Property via summary proceedings and, in such event, all interest herein granted or vested in the Center regarding the Property and any building, structure or other improvement shall cease and terminate. If, on account of breach or default by the Center of any of the Center's obligations hereunder, it shall become necessary for the City to incur expenses to enforce or defend any of the City's rights or remedies hereunder, then, in any such event, any reasonable amount incurred by the City, including attorneys' fees, shall be paid by the Center. 15. Surrender: At the expiration or earlier termination of the Lease term, the Center shall surrender the Property together with all improvements, alterations and additions then a part thereof. 16. Amendments: This Lease may be amended or modified only with the concurring written consent of the Parties hereto. 17. Severability: If any clause, provision or section of this Lease be ruled invalid by any court of competent jurisdiction, the invalidity of such clause, provision or section shall not affect any of the remaining provisions hereof. 18. Effective Date; Counterparts: This Lease shall become effective upon its delivery. It may be simultaneously executed in several counterparts, each of which shall be an original and all of which shall constitute but one and the same instrument. 19. Governing Law: Page 5 of 6 Franklin Community Center 2019 Lease APPENDIX A During the performance of this contract, the Consultant, Vendor and/or Service Provider, for itself, its assignees, and successors in interest (hereinafter referred to as the "contractor") agrees to comply with the following non-discrimination statutes and authorities; including but not limited to: 1. Compliance with Regulations: The contractor (hereinafter includes consultants) will comply with the Acts and the Regulations relative to Non-discrimination in Federally -assisted programs of the U.S. Department of Transportation, as they may be amended from time to time, which are herein incorporated by reference and made a part of this contract. 2. Non-discrimination: The contractor, with regard to the work performed by it during the contract, will not discriminate on the grounds of race, color, or national origin in the selection and retention of subcontractors, including procurements of materials and leases of equipment. The contractor will not participate directly or indirectly in the discrimination prohibited by the Acts and the Regulations, including employment practices when the contract covers any activity, project, or program set forth in Appendix B of 49 CFR Part 21. 3. Solicitations for Subcontracts, Including Procurements of Materials and Equipment: In all solicitations, either by competitive bidding, or negotiation made by the contractor for work to be performed under a subcontract, including procurements of materials, or leases of equipment, each potential subcontractor or supplier will be notified by the contractor of the contractor's obligations under this contract and the Acts and the Regulations relative to Non-discrimination on the grounds of race, color, or national origin. 4. Information and Reports: The contractor will provide all information and reports required by the Acts, the Regulations, and directives issued pursuant thereto and will permit access to its books, records, accounts, other sources of information and its facilities as may be determined by the Recipient to be pertinent to ascertain compliance with such Acts. Regulations, and instructions. Where any information required of a contractor is in the exclusive possession of another who fails or refuses to furnish the information, the contractor will so certify to the Recipient, as appropriate, and will set forth what efforts it has made to obtain the information. 5. Sanctions for Noncompliance: In the event of a contractor's noncompliance with the Nondiscrimination provisions of this contract, the Recipient will impose such contract sanctions as it may determine to be appropriate, including, but not limited to: a. withholding payments to the contractor under the contract until the contractor complies; and/or b. cancelling, terminating, or suspending a contract, in whole or in part 6. Incorporation of Provisions: The contractor will include the provisions of paragraphs one through six in every subcontract, including procurements of materials and leases of equipment, unless exempt by the Acts, the Regulations and directives issued pursuant thereto. The contractor will take action with respect to any subcontract or procurement as the Recipient may direct as a means of enforcing such provisions including sanctions for noncompliance. Provided, that if the contractor becomes involved in, or is threatened with litigation by a subcontractor, or supplier because of such direction, the contractor may request the Recipient to enter into any litigation to protect the interests of the Recipient. In addition, the contractor may request the United States to enter into the litigation to protect the interests of the United States. Pertinent Non -Discrimination Authorities: • Title VI of the Civil Rights Act of 1964 (42 U.S.C. § 2000d et seq., 78 stat. 252), (prohibits discrimination on the basis of race, color, national origin); and 49 CFR Part 21. • The Uniform Relocation Assistance and Real Property Acquisition Policies Act of 1970, (42 U.S.C. § 4601 ), (prohibits unfair treatment of persons displaced or whose property has been acquired because of Federal or Federal -aid programs and projects); • Federal -Aid Highway Act of 1973, (23 U.S.C. § 324 et seq.), (prohibits discrimination on the basis of sex); • Section 504 of the Rehabilitation Act of 1973, (29 U.S.C. § 794 et seq.), as amended, (prohibits discrimination on the basis of disability); and 49 CFR Part 27; • The Age Discrimination Act of 1975, as amended, (42 U.S.C. § 6101 et seq.), (prohibits discrimination on the basis of age); • Airport and Airway Improvement Act of 1982, ( 49 USC § 4 71, Section 47123 ), as amended, (prohibits discrimination based on race, creed, color, national origin, or sex); • The Civil Rights Restoration Act of 1987, (PL 100-209), (Broadened the scope, coverage and applicability of Title VI of the Civil Rights Act of 1964, The Age Discrimination Act of 1975 and Section 504 of the Rehabilitation Act of 1973, by expanding the definition of the terms "programs or activities" to include all of the programs or activities of the Federal -aid recipients, sub -recipients and contractors, whether such programs or activities are Federally funded or not); • Titles II and III of the Americans with Disabilities Act, which prohibit discrimination on the basis of disability in the operation of public entities, public and private transportation systems, places of public accommodation, and certain testing entities (42 U.S.C. §§ 12131-12189) as implemented by Department of Transportation regulations at 49 C.P.R. parts 37 and 38; • The Federal Aviation Administration's Non-discrimination statute (49 U.S.C. § 47123) (prohibits discrimination on the basis of race, color, national origin, and sex); • Executive Order 12898, Federal Actions to Address Environmental Justice in Minority Populations and Low -Income Populations, which ensures discrimination against minority populations by discouraging programs, policies, and activities with disproportionately high and adverse human health or environmental effects on minority and low-income populations; • Executive Order 13166, Improving Access to Services for Persons with Limited English Proficiency, and resulting agency guidance, national origin discrimination includes discrimination because of limited English proficiency (LEP). To ensure compliance with Title VI, you must take reasonable steps to ensure that LEP persons have meaningful access to your programs (70 Fed. Reg. at 74087 to 74100); • Title IX of the Education Amendments of 1972, as amended, which prohibits you from discriminating because of sex in education programs or activities (20 U S.C. 1681 et seq). ELIGIBILITY: An applicant to the Design Review Commission for Architectural Review or Historic Review must be the property owner(s) or lessee, or have an option to lease or purchase the property in question. 2. COMPLETE SUBMISSIONS: Applicants are encouraged to work with City staff to ensure that an application is complete. The DRC will only consider properly completed applications that contain 1 original and 1 digital version of the application and ALL other required materials as indicated on the application. DESIGN CiuIDELINES: The Design Review Commission will evaluate whether the proposed action (construction, alteration or demolition) is compatible with existing structures and surrounding properties using the following criteria: • Height — consistent with historic form and context of site and surrounding properties • Scale — relationship of structure and its architectural elements to human size, form, perception • Proportion — relationship among building elements including front facade, windows, and doors • Rhythm — pattern resulting from repeating building elements such as door/window openings, columns, arches, and other facade elements • Directional Expression — compatibility with horizontal & vertical expression of surrounding structures • Massing & Open Space — relationship of structure to open space between it and adjoining buildings • Setback — compatibility with surrounding structures • Compatibility of the following with surrounding structures/properties: - Major building elements (storefronts, doors, windows, roof) - Building materials - Color — (in non-residential zoning districts only) 5. DECISIONS: The Design Review Commission may approve, approve with conditions, or disapprove an application. The DRC may impose appropriate conditions and safeguards in connection with its approval including nature/quality of materials, manner of construction, and design. An applicant may appeal a denied DRC application on the grounds of hardship. Application approvals shall expire within 18 months of the filing date unless the project has sufficiently commenced (i.e. building/demolition permits obtained and construction/alteration begun). Applicants may request up to 2 extensions if requested before expiration date of prior approval. 6. AGENDA DATE: Check City's website (www.saratoga-springs.org) for meeting dates.
